Job Description:
Seva Tarang Foundation is seeking a Manager – Legal & Compliance to support NGOs on the Social Stock Exchange and oversee governance, regulatory compliance, and fund management operations.
The ideal candidate should be a qualified Company Secretary with experience in legal compliance, corporate governance, and regulatory reporting. Experience in the non-profit sector or Social Stock Exchange ecosystem will be an added advantage.
Responsibilities
Customer Facing
- Help NGOs list on the Social Stock Exchange – due diligence, offer documents & investor pitch
- Liaise with BSE/NSE on offer document queries
- Support NGOs in appointing RTA & custodian banks
- Form trusts and Section 8 companies
- Help NGOs with their compliance queries
Corporate Compliance
- Manage compliances for Sec 8, private companies & investment trusts
- Lead Social Impact Fund (Cat 1 AIF) formation & SEBI interactions
- Handle investment committee & board meetings, investor reporting
- Manage fund operations – investor agreements, unit issuance & quarterly SEBI reporting
- Interactions with corporate trustees & RTA
- Structure Donor Advised Funds, outcome-based financing & returnable grants
Requirements
Education:
- Qualified Company Secretary (CS)
- 5–7 years’ experience in compliances of companies, trusts & co-operative societies
- Board/Founder-level interaction experience is a plus
- Exposure to social sector, CSR policy or SDGs preferred
Language skills:
- Excellent written and oral communication in English & Hindi
- Presentation skills before investors, exchanges & NGO trustees
- Expert in PowerPoint, Excel & Word

- Detail-oriented, highly organised, team player & multitasker
- High sense of responsibility and commitment
- Good at maintaining relations with peers, colleagues & partner
